Terms & Conditions

The terms that govern your use of the Hiddlins website and any web-development, audit or care-plan services you order from us.

Last updated:

These Terms & Conditions (“Terms”) govern your use of hiddlins.com and any services you order from Hiddlins (“Hiddlins”, “we”, “us” or “our”), including website design and development, WooCommerce store builds, custom web applications, performance and technical SEO audits, and website care plans. Please read them carefully. By using the website or placing an order, you agree to these Terms. Last updated: October 14, 2026.

Definitions#

In these Terms:

  • “Client”, “you” or “your” means the person or organisation that orders services from us. If you order on behalf of an organisation, you confirm that you are authorised to bind it to these Terms.
  • “Services” means the services described on our services pages, in a quote, proposal or statement of work, or in an order confirmation.
  • “Deliverables” means the designs, code, content, configuration, reports and other materials we produce specifically for you as part of the Services.
  • “Proposal” means a written quote, proposal or statement of work that we issue and you accept, including by email.
  • “Client Materials” means content, images, logos, data, credentials and other materials you supply to us.
  • “Third-Party Components” means software, plugins, themes, fonts, libraries, APIs, hosting and other products or services provided by someone other than us.
  • “Business day” means a day other than a weekend or public holiday in Ukraine.

Use of this website#

You may browse our website, read our articles and use tools such as the project cost calculator on our pricing page for your own personal or internal business purposes. When using the website you agree not to:

  • attempt to gain unauthorised access to the website, its server, its database or any account other than your own;
  • probe, scan or test the vulnerability of the website or bypass our security measures, including our firewall, without our prior written permission;
  • send automated requests at a volume that degrades the website for others, or use the website to distribute malware, spam or unlawful content;
  • submit false information through our contact form or checkout; or
  • copy or republish substantial parts of our content without permission, except as permitted by law or as described in our Disclaimer.

We may suspend or block access to the website, including by IP address, if we reasonably believe these rules have been broken. Estimates produced by the pricing calculator are indicative only and are not an offer or a binding quote.

The website content, design, logos and code are owned by us or our licensors and are protected by intellectual property law. Our privacy practices are described in our Privacy Policy and Cookie Policy.

Ordering services#

How orders work#

Our services are listed in our online shop as virtual products and are purchased through WooCommerce. You can order in two ways:

  1. Fixed-scope packages. Some services, such as the Performance & Technical SEO Audit or the Landing Page Development package, have a defined scope described on the product page. Ordering one of these is an offer to buy that scope at the listed price.
  2. Quoted projects. Larger or custom work, such as a custom web application, is priced through a Proposal. The product price shown in the shop is a starting price or deposit, and the Proposal governs the final scope and fees.

When the contract is formed#

After you place an order, you will receive an automatic order acknowledgement. That acknowledgement is not acceptance. A contract is formed when we confirm in writing that we accept the order or when we begin work, whichever is earlier. We may decline an order, for example if the project is outside our expertise, if we cannot meet the requested timeline, or if the product information contained an obvious error. If we decline an order after you have paid, we will refund you in full.

Order of precedence#

If there is a conflict between documents, the following order applies: (1) a signed or accepted Proposal; (2) these Terms; (3) the product page description. Specific terms in a Proposal prevail only for that project.

Quotes and scope#

Quotes are valid for 30 days from the date of issue unless the quote states otherwise. Each Proposal sets out what is included: pages, templates, features, integrations, content responsibilities, browsers and devices supported, the number of revision rounds and the expected timeline.

Change requests#

Anything not described in the Proposal is out of scope. We are happy to accommodate changes, but because they affect time and cost we handle them through a simple change request process:

  1. You describe the change in writing.
  2. We estimate the impact on fees and timeline.
  3. Work on the change starts once you approve the estimate in writing.

Unless agreed otherwise, out-of-scope work is charged at our current hourly rate.

Timelines#

Timelines in a Proposal are good-faith estimates based on prompt feedback and timely delivery of Client Materials. If feedback, content or access is delayed, the timeline moves accordingly. If a project is paused at your request or due to your inaction for more than 30 days, we may reschedule it into our next available slot and invoice for work completed to date. Our approach to planning is explained on our process page.

Prices and payment terms#

Prices are shown in the currency displayed at checkout. Taxes such as VAT or sales tax are added where applicable. Unless a Proposal states otherwise, the following payment structure applies:

Service type Payment schedule
Performance & Technical SEO Audit 100% payable at the time of order
Projects with total fees up to $5,000 (for example, landing pages and standard WordPress websites) 50% deposit at order or acceptance of the Proposal; 50% on completion, before launch or handover
Projects with total fees above $5,000 (for example, WooCommerce stores and custom web applications) 40% deposit; 30% on approval of designs or the agreed mid-project milestone; 30% on completion, before launch or handover
Website Care & Maintenance Plan Billed monthly in advance on a recurring basis
Out-of-scope work and change requests Invoiced on approval or monthly in arrears, as agreed

Deposits#

The deposit secures a slot in our schedule and covers initial discovery, planning and design work. We start work once the deposit has cleared. Refunds of deposits are governed by our Refund & Cancellation Policy.

Invoices and late payment#

Invoices not paid through checkout are due within 14 days of the invoice date. If payment is late, we may pause work, withhold handover of Deliverables and, after giving you written notice, suspend hosting or care-plan services that we manage. Where the law permits, we may also charge interest or statutory compensation on late business payments. Launch and transfer of ownership take place only after the final payment has cleared.

Third-party costs#

Unless a Proposal says otherwise, our fees do not include domain registration, hosting, premium plugin or theme licences, stock media, paid APIs, transactional email services or payment gateway fees. Where possible we recommend that such accounts be opened in your name so that you keep direct control of them.

Client responsibilities#

Good projects are collaborative. To help us deliver on time and on budget, you agree to:

  • nominate one decision-maker who can approve work and give consolidated feedback;
  • provide Client Materials, such as text, images, product data and brand assets, in the agreed format and by the agreed dates;
  • provide access to hosting, domains, existing websites and third-party accounts where needed, and keep your own credentials secure;
  • review Deliverables and respond within the timeframes in the Proposal, or within 5 business days if none are stated;
  • ensure that you own or have permission to use all Client Materials and that they do not infringe anyone’s rights or break any law;
  • be responsible for the legal content of your own website, including your privacy policy, terms of sale, cookie consent configuration, product claims and regulatory compliance in your sector; and
  • keep independent backups of your own content and data.

We can recommend tools that support compliance, such as consent banners and accessible markup, but we do not provide legal advice. You agree to indemnify us against reasonable losses arising from claims that Client Materials infringe a third party’s rights.

Revisions and approvals#

Unless a Proposal states otherwise, each design milestone includes two rounds of revisions. A revision round is one consolidated set of feedback on a Deliverable. Changes that alter the agreed scope, structure or functionality, or that reverse decisions you previously approved, are treated as change requests.

When you approve a milestone, in writing or by instructing us to proceed, it is considered final and we move to the next stage. If you do not respond to a request for approval within 10 business days, and do not ask for more time, we may treat the milestone as approved so that the project can continue.

Before launch we run a final review on the browsers and devices listed in the Proposal. Your approval to launch, or your use of the Deliverables in a live environment, is acceptance of the Deliverables, subject to the bug-fix warranty below.

Intellectual property and licensing#

Transfer of ownership upon full payment#

Once we have received full payment of all fees due for a project, we assign to you all intellectual property rights we own in the custom Deliverables created specifically for you, including custom designs, custom code and content we write for you. Until full payment is received, we retain ownership and grant you a limited, revocable licence to review the Deliverables for the purposes of the project only.

Our pre-existing materials#

Over time we have developed tools, code libraries, snippets, starter themes, components, build scripts and know-how that we reuse across projects (“Studio Materials”). We keep ownership of Studio Materials. Where they are incorporated into your Deliverables, we grant you a perpetual, worldwide, non-exclusive, royalty-free licence to use, modify and maintain them as part of your website or application once full payment has been made. You may not resell Studio Materials as a standalone product.

Your materials#

You keep ownership of Client Materials. You grant us a licence to use them only as needed to provide the Services.

Portfolio and credit#

After launch we may show the completed work, such as screenshots and a short description, in our portfolio and may include a discreet credit link in the website footer. We will never disclose confidential information, and we will not do either if you ask us not to in writing, or if the work is covered by a confidentiality agreement.

Third-party software, plugins and licences#

Most websites rely on Third-Party Components, such as WordPress, WooCommerce, PHP libraries, JavaScript packages, plugins, themes, fonts and hosting services. These are provided under their own licences and terms, which you must accept and comply with:

  • Open-source software, including WordPress and WooCommerce, is licensed under the GNU General Public License (GPL) or other open-source licences. Our assignment of rights does not change those licences, and any code we write that is a derivative of GPL software is subject to the GPL’s terms.
  • Premium plugins and themes are licensed by their vendors, usually on an annual subscription for updates and support. Where we purchase a licence on your behalf, it is passed through at cost or as stated in the Proposal, and it should be transferred to or registered in your name where the vendor allows.
  • Third-party services, such as payment gateways, email delivery, analytics and hosting, are contracted directly between you and the provider.

We are not responsible for defects, security vulnerabilities, discontinuation, price changes or licence changes in Third-Party Components, although we will tell you about issues we become aware of and help you address them under a care plan or at our hourly rate.

Warranties and bug-fix window#

We warrant that we will perform the Services with reasonable skill and care, in line with generally recognised industry practice.

30-day bug-fix window#

For 30 days after launch or handover, we will fix, at no extra charge, any defect where the Deliverables do not work as described in the Proposal on the browsers and devices it specifies. To qualify, the defect must be reported in writing within the window and must not result from:

  • changes made by you or anyone other than us, including content edits that break layouts;
  • updates to WordPress, plugins, themes, PHP, browsers or other Third-Party Components after handover;
  • hosting, server configuration or third-party service failures;
  • misuse, hacking or malware not caused by our negligence; or
  • requests for new features, which are change requests.

After the bug-fix window, support and updates are available through our Website Care & Maintenance Plan or at our hourly rate.

What we do not guarantee#

Except as expressly set out in these Terms and to the extent permitted by law, we make no other warranties, express or implied. In particular, we do not guarantee specific search rankings, traffic, conversion rates, revenue, Core Web Vitals scores or uninterrupted, error-free operation, because these depend on factors outside our control, such as search engine algorithms, hosting, content and competition. See our Disclaimer for more detail. Nothing in these Terms affects statutory rights that cannot be excluded by contract, including those of consumers.

Limitation of liability#

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

Subject to that:

  • we are not liable for any indirect or consequential loss, or for loss of profit, revenue, business, goodwill, anticipated savings or data, whether arising in contract, tort (including negligence) or otherwise;
  • our total aggregate liability arising out of or in connection with a project is limited to the total fees you paid us for that project; and
  • for care-plan services, our total aggregate liability is limited to the fees you paid for the plan in the 12 months before the event giving rise to the claim.

You are responsible for maintaining your own backups. Where we manage backups under a care plan, we will take reasonable steps to keep them current and restorable, but we are not liable for data loss caused by hosting failures or events outside our control.

Confidentiality and data protection#

Each party will keep confidential any non-public information received from the other in connection with the Services and will use it only for the purposes of the project. This obligation does not apply to information that is publicly available, independently developed or lawfully received from a third party, or that must be disclosed by law.

Where we process personal data on your behalf (for example, accessing customer records in your WooCommerce store), we do so as your processor, only on your documented instructions, and subject to the data processing terms in our Proposal or a separate data processing agreement. Our handling of your own personal data as a client is described in our Privacy Policy.

Care-plan subscriptions#

Our Website Care & Maintenance Plan is a recurring monthly subscription. The plan description on the product page or in your Proposal sets out what is included, such as software updates, backups, uptime monitoring, security monitoring and a monthly allowance of support time.

  • Billing. The plan renews automatically each month and is charged in advance to your chosen payment method until cancelled.
  • Allowances. Unused support time does not roll over to the next month unless the plan says otherwise. Work beyond the allowance is quoted separately.
  • Updates. We test updates sensibly, but an update to WordPress, a plugin or a theme can occasionally cause conflicts. If that happens, we will roll back or fix the issue as part of the plan.
  • Security incidents. We take reasonable steps to prevent and detect compromises. If a site we maintain is compromised, clean-up is included up to the limits stated in the plan.
  • Price changes. We will give at least 30 days’ notice of any price change, and you may cancel before it takes effect.
  • Cancellation. You may cancel at any time, with effect from the end of the current billing period. See our Refund & Cancellation Policy.

Termination#

Termination by you#

You may end a project at any time by giving us written notice. You will pay for work completed up to the date of termination, calculated by reference to the milestones in the Proposal or our hourly rate, together with any non-refundable third-party costs we incurred on your behalf. Any amount you have already paid beyond that will be refunded in line with our Refund & Cancellation Policy.

Termination by us#

We may end a project or care plan by giving written notice if:

  • you fail to pay an undisputed invoice within 14 days of a reminder;
  • you materially breach these Terms and do not remedy the breach within 14 days of notice;
  • the project has been inactive for 60 days because of missing feedback, content or access; or
  • you ask us to do anything unlawful, unethical, or that would infringe the rights of others.

We may also end an engagement for any other reason by giving 30 days’ notice, in which case we will refund fees paid for work not yet performed.

Effect of termination#

On termination, we will hand over Deliverables completed and paid for. Clauses that by their nature should survive, including intellectual property, confidentiality, limitation of liability and governing law, will continue to apply.

If you are a consumer#

Most of our clients are businesses. If you buy from us as a consumer (for purposes outside your trade, business or profession), you may have additional statutory rights, including, in the EU and UK, a right to cancel distance contracts within 14 days. If you ask us to start work during that period, you will pay a proportionate amount for services provided before you cancel, and the right to cancel ends once the service has been fully performed with your express agreement. Our Refund & Cancellation Policy explains how to cancel.

Force majeure#

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, epidemics, war, terrorism, civil unrest, government action, widespread internet or power outages, failures of hosting providers or other critical third-party services, or serious illness. The affected party will notify the other promptly and use reasonable efforts to minimise the impact. If the event continues for more than 60 days, either party may terminate the affected project by written notice, and you will pay for work completed up to that point.

Governing law#

These Terms, and any dispute or claim arising out of or in connection with them or the Services, are governed by the laws of Ukraine. If you are a consumer, you also benefit from any mandatory protections of the law of the country where you live.

Dispute resolution#

We would much rather solve a problem than argue about it. If you are unhappy with any aspect of our work:

  1. Tell us. Contact us at hello@hiddlins.com with a description of the issue. We will acknowledge your message within 5 business days.
  2. Talk it through. Both parties will negotiate in good faith for at least 30 days, including a call between decision-makers if useful.
  3. Mediation. If that does not resolve the dispute, either party may propose mediation by an independent mediator, with costs shared equally unless agreed otherwise.
  4. Courts. If the dispute is still unresolved, it may be brought before the competent courts of Ukraine, without prejudice to a consumer’s right to bring proceedings in the courts of the country where they live.

Either party may still seek urgent injunctive relief.

General provisions#

  • Independent contractors. We act as an independent contractor. Nothing in these Terms creates a partnership, employment or agency relationship.
  • Assignment. You may not transfer your rights under these Terms without our written consent. We may transfer our rights to a successor business, and will tell you if we do.
  • Entire agreement. These Terms and any Proposal form the entire agreement between us for the Services and replace earlier discussions.
  • Severability. If any provision is found invalid or unenforceable, the remaining provisions continue in effect.
  • Notices. Notices may be given by email to the address each party has provided. Notices to us should go to hello@hiddlins.com.

Changes to these Terms#

We may update these Terms from time to time, for example to reflect new services or changes in the law. The version in force when you place an order or accept a Proposal applies to that project. For care plans, updated Terms apply from the next billing period after we have given you at least 30 days’ notice; if you do not agree, you may cancel before they take effect.
